Welcome to BeatBox. These Terms of Service ("Terms") govern your access to and use of the BeatBox platform, including our mobile applications and website (collectively, the "Service"). By using BeatBox, you agree to be bound by these Terms.

BeatBox is a marketplace platform that connects space owners ("Hosts") with individuals seeking to rent creative spaces, studios, and venue sections ("Attendees"). BeatBox facilitates bookings and payments but is not a party to any rental agreement between Hosts and Attendees.

To use BeatBox, you must:

• Be at least 18 years of age
• Be capable of forming a binding contract
• Not be prohibited from using the Service under applicable law
• Provide accurate and complete registration information

You must create an account to use certain features of the Service. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

You may not transfer your account to another person or use another person's account without permission.

4.1 Listing Spaces

As a Host, you may list spaces for rent on BeatBox. You represent and warrant that:

• You have the legal right to rent the space
• Your listing information is accurate and not misleading
• Your space complies with all applicable laws and regulations
• You have appropriate insurance coverage for your space

4.2 Booking Requests

You agree to respond to booking requests within a reasonable timeframe. You may approve or decline requests at your discretion, but you may not discriminate against Attendees based on race, color, religion, national origin, disability, sex, gender identity, sexual orientation, or any other protected characteristic.

4.3 Payments

To receive payments, you must connect a valid Stripe account. BeatBox charges a platform fee of 10% on each completed booking. Payouts are processed according to Stripe's standard payout schedule.

4.4 Cancellations by Host

If you cancel a confirmed booking, the Attendee will receive a full refund. Repeated cancellations may result in penalties or removal from the platform.

5.1 Booking Spaces

As an Attendee, you may request to book spaces listed on BeatBox. By submitting a booking request, you agree to pay the total amount if the Host approves your request.

5.2 Payment

Once a Host approves your booking, you have 24 hours to complete payment. Failure to pay within this window will result in automatic cancellation of your booking. All payments are processed securely through Stripe.

5.3 Use of Spaces

You agree to:

• Use the space only for its intended purpose
• Follow all rules established by the Host
• Treat the space with respect and leave it in good condition
• Not exceed the stated capacity or time limits
• Not engage in illegal activities on the premises

5.4 Cancellations by Attendee

Cancellation policies vary by listing. Please review the cancellation policy before booking. Refunds, if applicable, will be processed according to the stated policy.

BeatBox charges the following fees:

• Host Service Fee: 10% of the booking subtotal, deducted from Host payouts
• Payment Processing: Standard payment processing fees apply as determined by Stripe

All fees are non-refundable except as expressly stated in these Terms or required by law.

You may not:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Post false, misleading, or fraudulent content
• Harass, threaten, or discriminate against other users
• Attempt to circumvent our fees or payment systems
• Use automated systems to access the Service
• Interfere with the proper functioning of the Service
• Create multiple accounts for deceptive purposes

You retain ownership of content you submit to BeatBox. By posting content, you grant BeatBox a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with the Service.

You are solely responsible for your content and represent that you have all necessary rights to post it.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. BEATBOX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

BEATBOX IS NOT RESPONSIBLE FOR THE CONDUCT OF HOSTS OR ATTENDEES, THE CONDITION OF LISTED SPACES, OR ANY DISPUTES BETWEEN USERS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEATBOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS PAID BY YOU TO BEATBOX IN THE PAST 12 MONTHS.

You agree to indemnify and hold harmless BeatBox and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

BeatBox may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service will immediately cease.

We may modify these Terms at any time. If we make material changes, we will notify you through the Service or by email. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

• Entire Agreement: These Terms constitute the entire agreement between you and BeatBox.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
• Governing Law: These Terms are governed by the laws of the State of Delaware.
